General Terms and Conditions of Sale and B2B Supply

These General Terms and Conditions of Sale and Supply ("Terms") govern the purchase of pollination equipment and consumables through the online shop on Shop Agro360, as well as direct B2B professional supply agreements for kiwifruit pollen (Actinidia deliciosa, Actinidia chinensis) entered into between Agro360 and commercial customers.

Article 01

1. Corporate Identity and Legal Notice (Art. 2250 Italian Civil Code)

Article 02

2. Scope and Commercial B2B Nature

2.1. The commercial offerings, online Shop, and pollen supplies provided by Agro360 are intended exclusively for commercial business entities (agricultural companies, professional growers, cooperatives, agricultural contractors, distributors, and agronomists holding a valid VAT number), hereinafter referred to as the "Buyer" or "Customer".

2.2. Consumer protection legislation (including statutory cooling-off rights for individual end-consumers) does not apply to transactions governed by these Terms.

2.3. Any specific variations or waivers proposed by the Buyer must be confirmed in writing by an authorized legal representative of Agro360.

Article 03

3. Product Categories

Agro360 operates across two distinct commercial categories:

A. Pollination Equipment & Consumables (Hardware)

Self-service online shop items including electrostatic dusters, knapsack blowers, turbine pollen collectors, calibrated spray nozzles, and natural lycopodium carrier powder. These items can be purchased online via credit card, wire transfer, or digital payment.

B. RUOP-Certified Pure Kiwifruit Pollen (Living Biological Material)

99% pure Actinidia deliciosa and Actinidia chinensis pollen cryo-preserved at -20°C. Critical Notice: Pure kiwifruit pollen is NOT available for direct web checkout. Commercial supply is established via structured relational consultation, per-hectare dosage planning, batch-specific Real-Time PCR analytical certification ("Try first, commit later"), and signed purchase agreements.

Article 04

4. Technical Specifications, Germination Target, and Limitation of Agronomic Warranty

4.1. Physical Purity: Agro360 warrants a physical pollen purity rate of at least 99%, free from foreign floral debris, anther remnants, or particulates capable of blocking application nozzles.

4.2. Germination Target at Origin: Commercial batches feature an indicative in-vitro germination target rate exceeding 90% (verified on modified Brewbaker & Kwack agar medium prior to cryogenic vault placement).

4.3. Nature of the Germination Value and Warranty Limitation:

The germination figure certified in laboratory reports validates the biological condition of the batch upon leaving Agro360 facilities. The Buyer acknowledges that field germination, pollen tube kinetics, fruit set, and final orchard yield depend upon environmental variables beyond Agro360's operational control, including:

  • Thawing protocols and handling by field operators;
  • Unbroken maintenance of cold storage following handover;
  • Ambient weather during dusting/spraying (temperature, relative humidity, rainfall, wind);
  • Female floral receptivity and floral asynchrony;
  • Machine calibration and application technique.

Consequently, Agro360 provides no contractual warranty or financial guarantee regarding final orchard yield, total tonnage, or fruit size distribution.

Article 05

5. Phytosanitary Compliance, Plant Passport & RUOP IT-12-1908

5.1. Agro360 operates under Regulation (EU) 2016/2031 on protective measures against plant pests.

5.2. Every batch is issued an official European Plant Passport and undergoes mandatory molecular Real-Time PCR screening in accordance with EPPO PM 7/120 standards, certifying zero detection (PSA-Free) of Pseudomonas syringae pv. actinidiae.

5.3. Official batch analytical certificates are delivered to the Buyer prior to payment execution and shipment.

Article 06

6. Pricing, Orders, and Payment Terms

6.1. All listed prices on the website or commercial B2B quotations are quoted in Euros (€), net of VAT, customs tariffs, and freight costs.

6.2. Equipment list prices are those active upon order checkout. Accepted payment methods include major credit cards, SEPA wire transfer, and verified business platforms.

6.3. Kiwifruit pollen (standard indicative pricing: €1,800 – €1,900/kg ex-works net of VAT) follows structured pre-season scheduling: deposit upon pre-booking, balance upon certificate presentation prior to delivery.

Article 07

7. Delivery, Cryogenic Logistics (-20°C), and Transfer of Risk

7.1. Hardware Shipments: Equipment and accessories are dispatched via standard express courier services (24–72h transit).

7.2. Cryogenic Pollen Transport: Pollen is dispatched in sealed containers surrounded by certified dry ice / eutectic chill blocks designed to maintain -20°C throughout the planned transit window.

7.3. Temperature Dataloggers: Each consignment is equipped with a Cryogenic USB Datalogger recording continuous transit temperature profiles.

7.4. Critical Obligations Upon Consignment Arrival:

  • Immediately inspect thermal seals of the insulated shipping container;
  • Verify the temperature recorded by the USB datalogger or the condition of dry ice;
  • Transfer pollen containers immediately into commercial freezers at or below -20°C.

Any claims regarding transit temperature breaches must be documented and submitted within 24 hours of receipt.

Article 08

8. Exclusion of Return Rights for Perishable Biological Assets

8.1. Pursuant to applicable statutory commercial provisions, return rights do not apply to live biological kiwifruit pollen due to its perishable nature and rapid vulnerability to ambient temperature shifts outside Agro360's chain of custody.

8.2. Unused, unopened equipment in original condition may be returned within 14 days subject to written return merchandise authorization (RMA); return freight remains the responsibility of the Buyer.

Article 09

9. Buffer Safety Stock and Commercial Priority Option

For clients requesting safety contingency arrangements during pre-season planning, Agro360 may grant a commercial priority option on safety buffer stock at -20°C through the bloom window, subject to vault availability ("while supplies last"). Specific quantities, fulfillment priorities, and commercial terms are agreed upon in individual order confirmations without imposing disproportionate strict liabilities.

Article 10

10. Force Majeure

Agro360 is not liable for performance delays or non-delivery resulting from events beyond reasonable control, including catastrophic frosts in donor orchards, severe natural disasters, disruptions of cryogenic supply inputs, border closures, phytosanitary quarantine restrictions, or national transit strikes.

Article 11

11. Data Protection

Personal and corporate data processed during sales transactions are governed by our Privacy Policy in strict accordance with Regulation (EU) 2016/679 (GDPR).

Article 12

12. Applicable Law and Exclusive Jurisdiction

12.1. These Terms and all associated supply agreements are governed by the laws of Italy. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

12.2. Any dispute arising out of or related to these Terms, orders, or product supplies shall be subject to the exclusive jurisdiction of the Courts of Latina, Italy.
